Governance

Thera is a group of 29 companies which includes regional care and support companies and specialist companies providing other services and Thera Trust which is the parent company that leads the group and three dormant companies. 

Each company has its own board of directors, which has responsibility for the overall running of the company. The board of each regional company includes a paid executive service quality director on its board or senior management team, who has a learning disability. The Service Quality Director is responsible for quality assurance and the design of new services, as well as representing the views of people with a learning disability on the board and ensuring their influence on the organisation's decisions.

There are currently nine paid directors with a learning disability empoyed across the Group. Other companies within the Group are also structured to ensure significant involvement of people with a learning disability as members, shareholders, directors and staff. Thera has seven voluntary directors with a learning difficulty.

People

Management

Thera’s articles of association state that there must be at least one person with a learning disability within each pool of Executive Directors and Non-Executive Directors. The Group’s Executive Team operate as an equal team without a Chief Executive.

Thera has an executive team of four directors who are responsible for the strategic and professional leadership of the Charity. Three of the roles are held by appropriately qualified and experienced leaders with the fourth role being held by an individual who brings their experience of having a learning disability, along with their previous work experience, to the role. .

The executive team are also Trustees of the Charity and work alongside seven non-executive trustees.

Directors remunerations

Four of the Trustees are remunerated by the Charity and one of the Trustees has a contract for services with the Charity. There are no loans or guarantees provided by the Charity for the benefit of any Trustee. The directors who received aggregate remuneration and expenses are as follows:

Mrs K Boyce-Dawson - £126,661 (2017: £126,199) 

Mr S Conway - £133,903 (2017: £135,199) 

Ms J Garrigan - £122,528  (2017: £128,778)

Mr M Smith -  £46,481 (2017: £47,645)

Employee satisfaction

Thera has an established Employee Consultative Council structure across the Group. Employee Consultative councils in each Thera company are chaired by a voluntary director and consider a range of matters relating to Thera’s staff. This includes sharing important information about Thera and finding out what staff think about important decisions that may affect them.
